1. Acceptance of Terms

These Terms & Conditions (“Terms”) constitute a legally binding agreement between BYOB (Build Your Own Brand) (“Company”, “We”, “Us”, or “Our”) and any individual or entity (“User”, “You”, or “Your”) who accesses, browses, registers, purchases, or interacts with any part of Our website, platforms, content, or services (collectively, the “Platform”).

By accessing or using the Platform, You confirm that You have read, understood, and agree to be bound by these Terms, including future amendments.

If You do not agree, discontinue use immediately.

2. Definitions

For the purposes of these Terms:

  • “Platform” refers to the BYOB website, dashboards, digital learning portals, automation tools, payment systems, and related subdomains.
  • “Products” refers to physical kits, machinery, training materials, templates, and packaged offerings.
  • “Services” includes consulting, onboarding, setup, digital access, course modules, and business enablement resources.
  • “User Data” refers to personal or business information provided during account creation or purchase.
  • “Third-Party Provider” refers to any external platform integrated or referenced by BYOB, including payment gateways, hosting, logistics, or SaaS tools.
  • 3. Eligibility & User Obligations

    To use the Platform, You certify that:

  • You are 14 years or older.
  • You have legal capacity to enter binding contracts.
  • You are not barred by applicable law from receiving digital services.
  • You further agree to:

  • Use the Platform only for lawful purposes.
  • Ensure submitted information is accurate, updated, and complete.
  • Not attempt unauthorized access, scanning, penetration, or circumvention of security architecture.
  • 4. Account Registration, Access & Security

    Where applicable, You must create a secured account. You are responsible for:

  • Safeguarding passwords and authentication details,
  • Monitoring account activity,
  • Immediately reporting unauthorized access.
  • The Company shall not be liable for losses arising from compromised access credentials unless caused by proven Company negligence.

    5. Acceptable Use Policy (AUP)

    The following activities are strictly prohibited:

  • Fraud, identity misrepresentation, or impersonation
  • Copying, scraping, or extracting content using bots or automated tools
  • Engaging in hacking, malware distribution, or denial-of-service attacks
  • Selling, publishing, or distributing internal content without written consent
  • Using Platform resources to operate competing businesses or resell proprietary content
  • Violation may result in legal proceedings, account termination, and damage claims.

    6. Intellectual Property & Licensing

    All content, including but not limited to:

  • Software code
  • Website architecture
  • Digital courses
  • Brand assets
  • Logos
  • UI/UX designs
  • Templates
  • Instructional videos
  • Documentation
  • Training material
  • remains the exclusive intellectual property of BYOB, protected under applicable copyright, trademark, design, and trade secret laws.

    Users receive a limited, non-exclusive, non-transferable, revocable license for internal use only.

    You may NOT:

  • Redistribute, republish, reverse-engineer, translate, sublicense, resell, lease, modify, or commercially exploit intellectual property.
  • Unauthorized use may result in:

  • Permanent access revocation
  • Civil legal action
  • Criminal penalties under applicable IP enforcement laws
  • 7. Product Description, Modifications & Availability

    We reserve the right to modify:

  • Product specifications
  • Kit contents
  • Service offerings
  • Available features
  • Pricing and commercial terms
  • without prior notice.

    We do not guarantee:

  • Continuous product availability
  • Uninterrupted access
  • Technical compatibility with User devices
  • 8. Pricing, Billing & Payment Compliance

    Users agree to:

  • Pay fees as displayed at checkout
  • Ensure valid payment information
  • Not engage in chargeback misuse
  • Fraudulent behavior may result in:

  • Account termination
  • Reporting to authorities
  • Legal recovery and collection action
  • 9. Delivery, Installation & Service Provision

    Delivery estimates are indicative and subject to logistics, operational dependencies, and environmental conditions.

    Delays caused by external third parties or customer unresponsiveness are outside our liability scope.

    9. Delivery, Installation & Service Provision

    Due to customized and digital nature of services:

  • All purchases are strictly non-refundable and final.
  • Refunds apply only where:

  • Duplicate payments occurred, or
  • Physical items received were damaged and reported within three (3) business days.
  • No refunds will be issued for:

  • Change of mind
  • Lack of business success
  • Failure to implement provided training
  • 11. Third-Party Integrations & Dependencies

    Use of third-party software, hosting, payment gateways, automation tools, or logistics solutions is at User risk.

    We are not responsible for:

  • Policy changes
  • Subscription fees
  • Service downtime
  • Third-party data controls
  • Users remain subject to external provider Terms in addition to these Terms.

    12. Disclaimer of Warranties

    The Platform, Products, and Services are provided on an:

  • “AS-IS”, “AS-AVAILABLE”, and “WITHOUT WARRANTY” basis.
  • We disclaim all implied warranties, including:

  • Fitness for a particular purpose
  • Commercial viability
  • Business performance guarantee
  • Accuracy, uptime, reliability, or continuity
  • Nothing on the Platform constitutes professional legal, financial, tax, engineering, or regulatory advice.

    13. Business Result & Earnings Disclaimer

    No guarantees are made regarding:

  • Profitability
  • Return on investment
  • Customer acquisition
  • Operational success
  • User performance depends on external market dynamics and personal execution.

    14. Limitation of Liability

    To the maximum extent permitted by law, BYOB shall not be liable for:

  • Lost revenue, profits, data, or opportunity
  • Business interruption
  • Reputational harm
  • Indirect, punitive, or consequential damages
  • Total Company liability shall not exceed the amount paid in the preceding thirty (30) days.

    15. User Indemnification

    User agrees to indemnify and defend BYOB from:

  • Legal disputes arising from misuse
  • Regulatory non-compliance
  • IP violations
  • Misrepresentation or fraudulent behavior
  • 16. Suspension & Termination of Access

    We may terminate access without refund if:

  • Terms are violated
  • Fraud, abuse, or illegal conduct is detected
  • Unauthorized sharing or piracy occurs
  • 17. Force Majeure

    We are not responsible for performance failure resulting from events beyond reasonable control, including natural disasters, pandemics, government orders, cyberattacks, or supply chain failures.

    18. Relationship of Parties

    Nothing in these Terms creates an employment, franchise, joint venture, or agency relationship.

    19. Assignment & Transfer

    User may not assign rights or obligations under these Terms without written consent. BYOB may assign or transfer these Terms to affiliates or successors.

    20. Governance, Jurisdiction & Arbitration

    All disputes shall first undergo internal resolution. If unresolved, they shall proceed to binding arbitration under the Arbitration & Conciliation Act, 1996.

    If any provision is deemed invalid, the remainder remains enforceable.

    Failure to enforce rights does not constitute a waiver.
